AGREEMENT

Please read the following agreement completely before submission.  You must AGREE to the terms in order to begin the application process.

AIIS ON-LINE AGREEMENT

This On-Line Agreement (the "Agreement") contains the terms and conditions which grants permission to use our AIIS logo on said person(s) website and who have accepted the Agreement by electronically clicking the "I Agree" button below.

DESCRIPTION

This agreement enables an Applicant to use Associated Industries Insurance Services, Inc. (AIIS ) logo, with hyperlink on their website.  As used in this Agreement, the term "Logo" shall refer to Associated Industries Insurance Services, Inc. logo with hyperlink, as described below.

APPLICANT'S QUALIFICATIONS

AIIS shall have the right, in its sole discretion, to determine the Applicant's eligibility to receive logo based upon the applicant's information provided in the on-line Registration form.

Warranties by Applicant

By accepting this Agreement, Applicant represents and warrants that all information submitted by Applicant in registering is true, accurate, current and complete.  If any information that Applicant submits in the registration process is untrue, inaccurate, not current or incomplete, AIIS shall have the right to terminate applicants use of logo.

APPLICANT'S OBLIGATIONS FOR LOGO USE

Applicant agrees that it will use the Logo only for the purpose of establishing links to authorized pages contained within AIIS 's website.

Prohibited Conduct

Applicant represents and warrants as follows:

  1. Applicant will not alter or enhance the Logo and its hyperlink in any way, including: size, font, shape, color, design and configuration in which such items are made available to recipient.
  2. Applicant shall not copy, transfer, lend or otherwise make available to third-parties the Logo, in whole or in part, except as may be permitted by the explicit terms of this Agreement; and
  3. Applicant will not claim or hold itself out as claiming any sponsorship by, endorsement by, or affiliation with AIIS or its subsidiary corporations, successors and assigns.

TERMINATION

AIIS reserves the right, in its sole discretion, to alter, modify or terminate the Registration and Agreement at any time.

Upon termination of this Agreement, recipient shall immediately cease and desist from exercising any rights conferred by this Agreement, including, without limitation, from making any use of the Logo made available and shall remove the same from recipient's website including its subsidiary corporations, successors and assigned websites.

DAMAGES AND ATTORNEY FEES

AIIS reserves the right to initiate litigation against an applicant for an applicant's failure to promptly comply with the provisions of this Agreement relating to prohibited conduct and termination.  In the event that an applicant violates the provisions regarding prohibited conduct or fails to promptly cease utilizing AIIS 's logo pursuant to the provisions of this Agreement, AIIS may seek all appropriate remedies, including injunctive relief, damages and other remedies to protect itself pursuant to this Agreement.  In the event that AIIS has to initiate litigation to recover damages or other relief pursuant to this Agreement, AIIS will also be entitled to recover reasonable attorney's fees, costs and expenses from the applicant in the event that AIIS prevails in litigation to enforce its rights under this Agreement.

ENTIRE AGREEMENT

This Agreement shall be binding upon and inure to the benefit of the parties hereto and their respective heirs, successors and assigns.  This Agreement constitutes the entire understanding between the parties with respect to the subject matter hereof and supersedes all previous proposals and agreements, negotiations, representations, writings and all other communications between the parties, oral and written, relating to the subject matter of this Agreement.
